What We Do

Drafting for UAE Law and the UAE Courts

Documents intended to work here need to account for how UAE courts approach them. Proceedings are conducted in Arabic, bilingual documents are the practical standard, and where versions conflict the Arabic text generally governs before the local courts.

Beyond language, certain provisions behave differently under UAE law than they do elsewhere. Agreed compensation clauses can be adjusted by the court, arbitration clauses require specific signing authority, and some liability limitations are applied more narrowly than the drafting assumes.

Our Approach

How We Approach Legal Drafting

Bilingual Standard

Documents prepared bilingually with attention to the Arabic text, which governs before the local courts.

UAE Law Reality

Drafted for how UAE courts actually apply these provisions rather than for how they read elsewhere.

Signing Authority

Arbitration and other clauses requiring specific authority are flagged and handled correctly.

Plain Structure

Clear defined terms and structure, because a document nobody can follow is a document nobody complies with.

Templates

Standard sets built for repeat transactions so routine deals stop requiring bespoke drafting.

Review Service

Documents presented to you reviewed with a written risk list rather than a general comment.

Why Us

Why Imported Templates Cause Problems Here

A large proportion of the contracts we are asked to review are foreign templates used unchanged. They contain governing law and jurisdiction provisions that do not fit, remedies that are not available here, and no Arabic version at all.

They function until there is a dispute, at which point the party relying on them discovers that the clause they were counting on is not enforceable in the form drafted. Adapting the document properly at the outset avoids that entirely.

Process

Our Documentation Process

Understand the transaction, draft for UAE law, then keep it usable.

  1. 01

    Requirement Discussion

We establish what the document must achieve, who the parties are and what could go wrong.

  2. 02

    Structure Proposal

The structure and key provisions are agreed before full drafting begins.

  3. 03

    Bilingual Drafting

The document is drafted with attention to both language versions and the Arabic text in particular.

  4. 04

    Review and Revision

You review the draft and we revise until the commercial position is accurately reflected.

  5. 05

    Execution Support

Signing authority, notarisation and registration requirements are handled where applicable.

  6. 06

    Template Maintenance

Where the document will be reused, it is maintained and updated as circumstances change.

FAQ

Legal Documentation FAQs

Do contracts in the UAE need to be in Arabic?

Bilingual documents are the practical standard, and before the local courts the Arabic version generally governs where the two versions conflict.

Can I use a template from another country?

It can be a starting point, but it usually requires adaptation for governing law, available remedies and language before it works here.

Are penalty clauses enforceable?

Agreed compensation clauses are recognised, but a UAE court may adjust the amount to correspond to the loss actually suffered.

Do you review documents as well as draft them?

Yes. We review documents presented to you and provide a written list of risks and recommended changes.

Can you build standard templates for our business?

Yes. Standard document sets for repeat transactions are one of the most cost effective things a business can commission.

What about signing authority?

Certain clauses, including arbitration agreements, require specific authority to bind the company, and we address this at drafting stage.
